This is a legal agreement between you and Argentimage Ltd. PLEASE READ this agreement carefully before you agree to be bound by the terms of this agreement.
1. All photographic materials presented for lease or sale by Argentimage Ltd., but not limited solely to these displayed images are ORIGINAL works of art and Copyright protected. Registration of all original images by Argentimage Ltd. have been placed with the Copyright Office, Library of Congress, Washington D. C., USA.
All rights to all images (The Image) proffered for lease or sale herein are owned by Argentimage Ltd. All rights not specifically granted to you by this Agreement are reserved. Your right to use the Image is subject to the restrictions set forth in this Agreement and is conditioned upon your payment of the license fee prior to your use of the Image.
2. By this Agreement, Argentimage Ltd. grants to you a personal, non-exclusive, non-transferable, right to use the Image in the following, and only the following, ways:
a) Print Uses: advertising, editorials, catalogs, brochures, reports, disposable packaging, book covers.
b) Other Than Print Uses: web sites, broadcast video, multimedia presentations, and CD ROM's, provided that the Image is at a resolution not greater than 480 by 640 pixels and is incorporated into a design in such a fashion that it is clearly not intended to be downloaded or copied.
3. "Non-transferable," as used in Paragraph 2, means that the work you produce using the Image must be for your own use, or for the use of your direct employer, client, or customer, who must be the end-user of your work. You may not sell, rent, loan, give, sub-license, or otherwise transfer to anyone the Image or the right to use the Image (except insofar as it has been incorporated by you into one of the permitted uses enumerated in Paragraph 2 of this Agreement), and nothing you produce shall grant or purport to grant to any third party a right to use or duplicate the Image.
4. You agree to take all commercially reasonable steps to prevent third parties from duplicating or distributing the Image.
5. The Licensee who uses and/or intends to use any image(s) created by Argentimage Ltd., in commercial or private circumstances, shall identify Argentimage Ltd. as the creator of the image(s) used and shall display a copyright notice which shall include the words "Copyright Argentimage Ltd." or symbology "© Argentimage Ltd." and the year date of first publication. This notice applies to all commercial and/ or private parties and uses.
6. You may place the Image on only one computer with one user at a time.
7. Pornographic, defamatory, or otherwise unlawful use of the Image is prohibited.
8. You agree to indemnify and hold Argentimage harmless against any damages or liability of any kind arising from any use of the Image other than the uses specifically permitted by this Agreement.
9. Argentimage makes no warranties, expressed or implied, including and without limitation, any implied warranties of fitness of use for a particular purpose. Neither Argentimage nor any of its directors, officers, employees, or agents shall be liable for any damages, whether direct, indirect, consequential or incidental, arising out of the use of, or the inability to use, the Image.
10. This Agreement shall be governed by the laws of the State of Michigan, except if its conflict of laws rules. Venue for any action respecting this Agreement, the Image, or use or attempted use of the Image, shall be Detroit, Michigan USA.
